Terms of Use

These terms govern your use of DiffyPick (the “Software”). By downloading, installing, or using the Software, you agree to these terms.
1. Definitions
The “Developer” means the developer and provider of the Software. A “License” means a paid right to use the Software purchased through the seller described below.
2. License grant
The Developer grants one named user holding a valid License a non-exclusive, non-transferable right to use the Software. Personal, professional, and commercial use are all permitted. Each additional user needs their own License.
3. Free use (SQLite-only mode)
Without a license key, you may use the Software free of charge, limited to SQLite connections.
4. License term and expiry
Licenses are available as a monthly plan or a 2-year plan. When no valid License remains — due to expiry, cancellation, refund, or revocation — the Software reverts to SQLite-only mode. Your saved settings and data are not deleted.
5. Sales and payment
The Software is sold by Polar as Merchant of Record. Payment, receipts, and refunds are governed by Polar’s terms and refund policy.
6. Restrictions
- No redistribution, resale, or rental of the Software
- No sharing or publishing of license keys
- No reverse engineering, decompilation, or disassembly, except where expressly permitted by law
- No use for unlawful purposes
7. Updates
Updates released during your License term are included. The Developer does not guarantee specific features or release dates.
8. Your data and backups
The Software includes features that modify database schemas and data. Reviewing what will be executed and taking backups beforehand are your responsibility.
9. Disclaimer and limitation of liability
The Software is provided “as is.” To the maximum extent permitted by law, the Developer is not liable for any damages arising from the use of, or inability to use, the Software — including but not limited to data loss, lost profits, or business interruption. In any case, the Developer’s total liability is capped at the amount you paid for the Software in the preceding 12 months.
10. Changes to these terms
These terms may be updated from time to time. Material changes will be announced on this page or by other reasonable means.
11. Governing law and jurisdiction
These terms are governed by the laws of Japan. Any dispute shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
